Mr. Nolan began his legal career after a successful career in business. After selling his privately-held business in Lafayette, Louisiana, he attended the University of Florida College of Law. A very successful law student, Mr. Nolan graduated in the top 10% of his law school class, and served as President of the John Marshall Bar Association. He is also a frequent participant of the Jacksonville Businessperson Fellowship, and he is a member of the American Bar Association, the Florida Bar and the Jacksonville Bar Association.


Areas of Practice:

Business Transactions:
We represent buyers and sellers of businesses, advising our clients with purchase and sale agreements and related documents. We have participated in business purchase and sale transactions involving privately-held businesses valued as much as $100 Million. We assist companies in adding new employees, and in granting incentives to their employees, including stock options and phantom stock incentives.
We  handle real estate transactions from $100,000 to over $15,000,000.

Estate, Tax and Succession Planning:
We can advise you regarding your estate plan, including preparation of wills and trusts for taxable and non-taxable estates, including revocable (living) trusts, irrevocable life insurance trusts, special needs trusts, marital and credit shelter trusts, educational trusts;
We assist business owners with succession planning through various tax-advantaged techniques, including defective grantor trusts, annual leveraged gifting strategies, and other mechanisms; and
We help clients plan so as to reduce or avoid income, gift, estate and generation skipping transfer taxes.

Corporate Law:
For many clients, we serve as outside general counsel, receiving all legal requests and if necessary, directing matters to outside counsel.
Some of the services we offer are: starting a new business, (corporation, partnership, limited liability company (LLC), LP, LLP, or a professional association);
Assisting owners with the management of an existing business, including business succession from one generation to the next;
Corporate governance and maintenance, including officer and director compliance, minutes, annual reporting and bylaws maintenance;
Governance Agreements, such as shareholder agreements, partnership agreements, joint-ventures and operating agreements; and
Employment Matters, including incentive plans, employment agreements, non-compete and non-solicitation agreements, and termination procedures.

Probate:
We handle both simple and complex probate matters involving Florida decedents or non-resident decedents with Florida property.
